Terms of Service

Who we are

These terms cover your use of spearworksai.com and any service you buy from Spearworks AI LLC("we," "us," or "our"), an independent AI consulting practice based in Clackamas, Oregon. If we give you a written quote or agreement for a project, that document controls wherever it differs from these terms. Our Privacy Policy explains how we handle your information.

Prices

  • Website review: $149, paid up front.
  • Paid audit: $600, paid up front.
  • Hourly work: $150 an hour, quoted in writing before work starts. Projects and training carry a not-to-exceed cap. Ongoing advisory has a 4-hour monthly minimum and a 3-month minimum commitment, then runs month to month and you can cancel any time.
  • Flat-fee services, such as search visibility plans and paid ads setup and management: the fee in your written quote.

Payment

The website review and paid audit are paid up front, by card, through a Stripe payment link we email you. Hourly and ongoing work is invoiced at the end of each month, and other flat-fee work is invoiced when it's done. Invoices are due within 15 days and can be paid by card, ACH, or check. Balances unpaid 30 days after the invoice date accrue a late fee of 1.5% per month. If you pay an invoice by credit card, we may add a surcharge to cover card processing. Debit cards are never surcharged, and the website review and paid audit prices above include no surcharge.

Credits

  • Website review: the full $149 counts toward the paid audit if you book the audit within 60 days of paying for the review.
  • Paid audit: the full $600 counts toward your first implementation project if you start it within 60 days of the audit. If that project comes in under $600, the rest carries to your next project inside the same 60 days. The full $600 counts even if a website review credit paid part of the audit.

Credits are never paid out as cash.

Cancellations and refunds

  • Paid audit. Cancel any time before the working session and we refund everything you paid for it. Once the session has happened, the fee is not refundable. It still counts toward your first project as described above.
  • Website review. The review starts as soon as your payment goes through. Cancel before we deliver the written report and we refund the full $149. Once the report is delivered, the fee is not refundable.
  • Projects and ongoing services. You pay for work already done. Any minimum in your written quote still applies.
  • If we cancel, or can't deliver what you paid for, we refund you in full.

Need to move your audit session? Email us before it starts and we'll find a new time. To ask for a refund, email nathan@spearworksai.com. Refunds go back to the card you paid with, through Stripe.

What we need from you

Accurate information, and timely access to the systems, accounts, and people the work depends on. Late access can push back delivery dates. Your accounts stay yours, including your website host, Google Business Profile, CRM, and ad accounts.

Other companies' tools and costs

Our work often involves tools run by other companies, such as Google, HubSpot, and Vercel. Their terms and prices apply to your use of them, and their outages or changes are outside our control. Software subscriptions and ad spend are billed to you by those providers. Ad spend is paid to Google and Meta, never to us.

No guaranteed results

Search rankings, AI assistant answers, and ad performance are decided by Google, AI companies, and ad platforms, not by us. We do careful work and tell you honestly what we expect, but we don't guarantee any ranking, mention, number of leads, or sales result.

Confidentiality

What we learn about your business stays private. We don't share it, and we don't name you as a client or publish your results without your permission.

Who owns the work

When the work is done and paid for, the reports and everything else we make for you are yours to use however you like, including handing them to someone else to implement. We keep the right to reuse our general methods, checklists, and templates.

Limit of liability

To the extent the law allows, our total liability for any claim is limited to what you paid us for the service the claim is about. We aren't liable for indirect losses, such as lost profits or lost data.

Governing law

These terms are governed by Oregon law. Any dispute will be handled in the state courts in Clackamas County, Oregon.

Changes to these terms

We may update these terms from time to time. When we do, we revise the "last updated" date at the top of this page. The terms in effect when you place an order apply to that order.
